3. Client Agreement and Onboarding
3.1 Client Classification
We will classify you as a Retail Client, Professional Client, or Eligible Counterparty in accordance with FCA rules. This classification affects the level of protection you receive.
3.2 Know Your Customer (KYC)
Before providing services, we must:
- Verify your identity and address
- Assess your investment knowledge and experience
- Understand your financial situation and investment objectives
- Determine your risk tolerance
- Conduct anti-money laundering checks
3.3 Suitability Assessment

4. Investment Services
4.1 Investment Management
When providing discretionary investment management:
- We will manage your portfolio according to agreed investment objectives
- We may buy, sell, or hold investments without prior consultation
- All transactions will be executed in your best interests
- We will provide regular portfolio reviews and reporting
4.2 Investment Advisory
When providing investment advice:
- Recommendations will be based on suitability assessments
- You retain final decision-making authority
- We will explain the risks and benefits of recommendations
- You are responsible for implementation decisions
5. Fees and Charges
5.1 Management Fees
Management fees are calculated as a percentage of assets under management and are:
- Clearly disclosed in your client agreement
- Deducted from your portfolio on a quarterly basis
- Subject to applicable VAT
- Reviewed annually and may be adjusted with notice
5.2 Transaction Costs
Transaction costs may include:
- Brokerage commissions
- Stamp duty and other taxes
- Currency conversion costs
- Custodian charges
6. Risk Warnings and Disclaimers
6.1 Investment Risks
The value of investments and income from them can fall as well as rise. You may not get back the amount originally invested. Past performance is not a guide to future performance.
6.2 Specific Risks
Investment risks include but are not limited to:
- Market Risk: Changes in market conditions affecting investment values

7. Client Responsibilities

- Respond to our requests for information
7.2 Review and Understanding
You should:
- Read and understand all documentation provided
- Ask questions if anything is unclear
- Review statements and reports promptly
- Report any discrepancies immediately
8. Complaints Procedure
8.1 Internal Complaints
If you have a complaint:

- We will investigate and respond within 8 weeks
- We will provide a final response or explanation of any delay

9. Compensation Scheme
We participate in the Financial Services Compensation Scheme (FSCS). You may be entitled to compensation if we cannot meet our obligations. The level of compensation depends on the type of business and circumstances of the claim.
For investment business, eligible claimants may receive compensation up to £85,000. More information is available at www.fscs.org.uk.
10. Termination
10.1 Termination by Client
You may terminate our services by giving 30 days' written notice. Upon termination:
- We will execute your instructions for asset transfer or liquidation
- Outstanding fees and costs will be deducted
- We will provide final statements and documentation
- We may retain records as required by law
10.2 Termination by Company
We may terminate services immediately if:
- You breach these Terms
- You fail to pay fees or charges
- We cannot verify your identity
- Continuation would breach regulatory requirements
11. General Provisions
11.1 Governing Law
These Terms are governed by English law and subject to the jurisdiction of English courts.
11.2 Amendments
We may amend these Terms by giving you reasonable notice. Continued use of our services constitutes acceptance of amended Terms.
